1. Acceptance of Terms

Welcome to OptionsMastery.ai (the "Site" or "Platform"), operated by Assistra ("Company", "we", "us", or "our"). These Terms of Service constitute a legally binding contract between you, whether personally or on behalf of an entity ("you"), and the Company, concerning your access to and use of the website, mobile applications, API wrappers, and integration services. By accessing, registering, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree, you are strictly prohibited from using the Platform and must cease use immediately.

2. No Investment Advice or Broker-Dealer Services

OptionsMastery is an educational technology and software platform. We do not provide personalized financial, investment, tax, legal, or estate advice.

• No Advice Given: All recommendation models, conviction metrics ("Smart Scores"), and strategies are algorithmically generated based on historical data. They do not constitute a solicitation or recommendation to buy, sell, or write any option contracts.
• No Fiduciary Relationship: Assistra is not a registered Investment Advisor (IA), Broker-Dealer (BD), or custodian. We do not execute trades directly or custody client funds. Your brokerage agreement remains solely between you and your linked broker-dealer (e.g. Tradier, Alpaca, or Schwab).
• Educational Use Only: Users must perform their own independent research. Past performance of any algorithm or analysis model is not indicative of future returns.

3. Integration Partners & API Disclaimers

The Platform utilizes third-party application programming interfaces (APIs), including SnapTrade, Tradier API, and Alpaca API, to link your personal brokerage accounts and execute orders.

• Outages and System Failures: We are not responsible for API connection drops, server downtime, data feed latencies, or order-routing delays caused by SnapTrade or individual brokerages. Such systemic problems can cause option orders to fail, execute at suboptimal prices ("slippage"), or fail to close losing positions.
• Third-Party Liability: You agree that SnapTrade, Tradier, and Alpaca maintain their own respective Terms of Service and Privacy Policies. Assistra disclaims all liability arising out of any breach or error committed by these third-party integrations.

4. Automatic Execution & Algorithmic Controls

If you enable automatic execution features or configure one-click execution presets:

• Full Authority: You authorize our software to route order payloads to your connected broker according to your settings.
• Runaway Protection Checkers: While OptionsMastery implements client-side circuit breakers (e.g. $5,000 single order risk limit, 3-trades-per-minute rate limit, and auto-disabling triggers on API timeout), you agree that these are "best effort" safeguards. You are responsible for monitoring your accounts in real time.
• Execution Output: In no event will Assistra be liable for trades executed as a result of software bugs, loop failures, or incorrect AI reasoning.

5. Limitations of Liability & Warranty Exclusion

THE PLATFORM IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, OR NON-INFRINGEMENT.

IN NO EVENT WILL ASSISTRA, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF CAPITAL, TRADING LOSSES, LOST PROFITS, LOST REVENUE, LOSS OF DATA, SYSTEM OUTAGES, OR OTHER FINANCIAL DAMAGE ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. Indemnification

You agree to defend, indemnify, and hold Assistra, its subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your use of the Platform; (2) trades executed or failed on your brokerage account; (3) your breach of these Terms of Service; or (4) your violation of the rights of any third party, including intellectual property rights.

7. Binding Arbitration & Class Action Waiver

Any dispute, controversy, or claim arising out of or relating to this agreement shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association (AAA). The arbitration shall be conducted in Delaware, USA, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

YOU AGREE TO RESOLVE DISPUTES SOLELY ON AN INDIVIDUAL BASIS AND WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT OR REPRESENTATIVE ACTION.
